Welcome to Groove! These Terms of Use (“Terms”) govern your access to and use of the Groove website and services (together, the “Service”). Please read them carefully before using Groove. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use Groove.

1. Who We Are

Groove is a software-as-a-service (SaaS) platform that helps teams run retrospectives and improve team management. The Service is provided worldwide.

2. Eligibility

Groove is available to businesses, sole proprietors, and individuals. There is no restriction on who can sign up, but by using the Service you confirm that:

  • You are at least 13 years old (or the minimum legal age in your country).
  • If you are using Groove on behalf of a business, you have the authority to bind that business to these Terms.

3. Your Account

To use certain features, you may need to create an account. You are responsible for:

  • Providing accurate information when registering.
  • Keeping your account credentials secure.
  • All activity that occurs under your account.

We reserve the right to suspend or terminate accounts if these Terms are violated.

4. Team Data and Other Information

Groove enables you and your team to add notes, comments, and other information during retrospectives. This content (“Team Data”) is private to your team and not shared with other users.

Groove may also collect and process other information related to your use of the Service, including account details, website activity, and usage data. We may analyze this information (including through AI features) to provide insights, analytics, recommendations, and improvements to the Service.

You remain the owner of all Team Data you input. By using the Service, you grant Groove a limited license to process Team Data and other information solely for the purpose of operating, improving, and securing the Service.

5. Third-Party Integrations

Groove may connect with third-party tools (e.g., Slack, Jira, Google Workspace). If you choose to use such integrations, you authorize Groove to access and process the data necessary for that integration. Groove is not responsible for the practices of those third-party services.

6. Acceptable Use

You agree not to:

  • Use Groove for unlawful, harmful, or abusive purposes.
  • Attempt to interfere with or disrupt the Service.
  • Reverse engineer, decompile, or attempt to extract source code from Groove.

We may take action if we believe you are misusing the Service.

7. Intellectual Property

All rights, title, and interest in the Service (including software, design, and branding) remain the property of Groove or its licensors. Except for Team Data, you may not copy, modify, or distribute content from Groove without permission.

8. Disclaimers

Groove is provided “as is” and “as available.” We make no warranties of any kind regarding the Service, including availability, reliability, or fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, Groove will not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability for any claim is limited to the amount you paid to use Groove in the 12 months before the claim arose (or $0 if you use Groove for free).

10. Changes to These Terms

We may update these Terms at any time. If changes materially affect your rights or obligations, we will provide notice (for example, by posting on our website or sending an email). Your continued use of Groove after the changes take effect means you accept the new Terms.

11. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them will be governed by and construed in accordance with the laws of the State of Israel. Any dispute will be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
